3PL Fulfillment Service Agreement
SQUIRREL PREP CENTER LLC |
This agreement is between SQUIRREL PREP CENTER LLC (“Squirrel”) and the business identified below (“Client”). It provides a short summary of the accepted warehouse and fulfillment services. The four documents identified in Section 6 contain the detailed terms and form part of this agreement.
1 Services and inventory
Squirrel receives, externally inspects, records and stores accepted Client goods. For an actionable direct-to-customer order from Amazon FBM/MFN, Walmart seller-fulfilled, Shopify, eBay or another approved channel, Squirrel picks, ordinarily packs, labels and tenders the parcel to the carrier. Separately accepted Amazon FBA or Walmart WFS preparation sends stock to the relevant marketplace facility; it is not direct-to-customer fulfillment. We assemble ordinary, Client-defined bundles or multipacks within the stated size and weight limits; we do not provide kitting or complex assembly. The Client remains the seller of record and owns its inventory.
2 Instructions and responsibilities
Before sending goods, the Client creates a usable inbound ASN, identifies the account, products, quantities and intended service, and supplies accurate product, order, recipient and labeling details. Direct-to-customer orders require available stock, a released order visible to Squirrel and a valid Client-funded shipping label or purchase authorization. The Client handles product compliance, listings, buyer communications, refunds, marketplace requirements and carrier charges. Standard inspection is visual and external; sealed packages and internal product function are not tested unless separately agreed. Squirrel is responsible for its own proven handling, labeling or picking errors as stated in the Terms.
3 Dispatch times
FBA and WFS preparation targets 48–72 hours, normally 2–3 business days, after physical receipt with a proper ASN and all required information, authorizations and labels. For 3PL stock already received and available, an actionable sales order placed and available to Squirrel before 2:00 p.m. U.S. Eastern Time on a business day is tendered to the carrier that day. Orders placed or first actionable at or after 2:00 p.m. are tendered the next business day. A business day is Monday through Friday when Squirrel and the selected carrier operate. Closures, including carrier holidays, shift dispatch accordingly. Dispatch means carrier handoff, not delivery to the buyer.
4 Rates and payment
Each inbound shipment requires at least 200 individual singles of the same SKU, 200 Big Size singles of the same SKU, or enough identified components to complete 100 bundles of the same defined bundle SKU. A bundle contains at least two components and counts as one finished bundle for its minimum and handling charge. Standard FBA/WFS preparation is $0.59 per single, $0.99 per Big Size single, or $0.99 per finished bundle of up to two components plus $0.50 for each additional component. Standard 3PL handling is $1.50 per shipped single or $2.50 per shipped finished bundle of up to two components plus $0.50 for each additional component. Published volume rates and product limits appear in Pricing and Fees. No monthly unit minimum, Squirrel setup fee or mandatory Squirrel account fee applies. Initial storage includes four calendar days, with receipt as day one; later storage follows the published rate or an approved quote. Postage, freight, applicable taxes and approved extra work or materials are separate. The Client authorizes payment using its registered card through the available portal and Stripe process. An accepted written quote controls the particular work it covers.
5 Issues, returns and ending service
Squirrel records visible receiving discrepancies and seeks instructions for affected goods. Returns, re-preparation, supplier returns and disposal require an accepted workflow and carry the applicable listed charges. Claims, insurance, responsibility for loss or damage, suspension, inventory release and termination are governed by the Terms and Product Handling and Warehouse Policies. Either party may end an ongoing relationship on 30 calendar days’ written notice, subject to outstanding work, lawful charges and inventory disposition.
6 Complete agreement and acceptance
The following English documents are provided with and incorporated into this agreement: (1) Terms and Conditions of Service; (2) Product Handling and Warehouse Policies; (3) Privacy Policy; and (4) Pricing and Fees. The Terms govern contractual rights, the warehouse policies govern operating procedures, Pricing and Fees governs posted charges, and the Privacy Policy explains handling of personal information. If this summary differs from a detailed provision, the applicable document controls; an accepted client-specific written agreement controls only the subject it expressly changes. This agreement and those four documents must be provided to the Client before acceptance.
By signing below, each party agrees to this agreement. The Client confirms it received and accepts all four documents listed above as part of the service relationship. Squirrel cannot begin or continue services for a Client that does not accept these conditions.
