TERMS AND CONDITIONS OF SERVICE

Terms and Conditions of Service

Squirrel Prep Center LLC

Contractual terms for marketplace-bound FBA and WFS preparation and for direct-to-customer 3PL fulfillment of seller orders from Amazon, Walmart, Shopify, eBay and other accepted channels.

1. Parties, acceptance, and documents

These Terms and Conditions of Service govern the business relationship between SQUIRREL PREP CENTER LLC, operating as Squirrel Prep Center (“Squirrel,” “Company,” “we”), and the business customer named in an account or accepted order (“Client”). An individual acting for an entity represents that the individual has authority to bind it. The Client accepts these Terms by signing an agreement that incorporates them, accepting them electronically, or instructing Squirrel to receive or process goods after these documents have been provided and identified as applicable. Merely viewing our website does not create a warehousing agreement.

The Product Handling and Warehouse Policies and Pricing and Fees form part of the service agreement. The Privacy Policy describes how personal information is handled. A written, accepted client-specific agreement prevails only on the subject it expressly changes. These Terms govern contractual rights; the operating policies govern procedures; Pricing and Fees governs posted rates. A portal instruction cannot by itself change a contractual term or rate. Terms of an independent platform, marketplace, payment provider, or carrier govern that provider’s service.

2. Two distinct service models

2.1 Marketplace preparation for FBA and WFS

For an accepted preparation order, Squirrel receives and inspects Client goods, performs the requested labeling, bagging, bundling or other prep, packs or palletizes them, and tenders the outbound shipment to a carrier for delivery to an Amazon Fulfillment by Amazon (FBA) facility or a Walmart Fulfillment Services (WFS) facility. After those programs receive inventory, Amazon or Walmart, respectively, controls its own consumer-order fulfillment under its rules. Squirrel does not fulfill those consumer orders merely by preparing an FBA or WFS inbound shipment.

2.2 Standard 3PL fulfillment for direct-to-customer orders

For an accepted 3PL program, Squirrel receives and records Client inventory, stores it at our facility, and waits for individual customer sales orders. Once an authorized order and complete shipping information reach us through a supported, enabled connection or agreed manual channel, we pick the specified goods, perform standard packing, attach the Client-funded shipping label, and tender the package to the carrier for delivery to the end customer. This model can serve Amazon Fulfilled by Merchant (FBM/MFN), Walmart seller-fulfilled orders, Shopify stores, eBay sales, and other approved seller-fulfilled channels. The Client remains the merchant or seller of record. A Shopify or eBay order is described as 3PL or seller-fulfilled, regardless of the channel’s own terminology.

2.3 Scope of each order

The service model is determined by the inventory allocation and the particular instruction or sales order. FBA and WFS prep rates apply to approved marketplace-bound preparation; 3PL fulfillment rates apply to each direct-to-customer unit or completed bundle shipped under a customer order. Receiving an ASN, holding inventory, and later picking a customer order are separate operational stages. The same physical work is not charged twice under different descriptions. We assemble ordinary, Client-defined bundles or multipacks within the published size and weight limits. We do not offer kitting or complex assembly. Unusual packaging, special handling, marketplace-specific work or changes of model require an agreed scope and any applicable approved charge.

The Client is responsible for the products, listings, pricing, taxes, end-customer communications, refunds, marketplace eligibility and the shipping promises made to buyers. Squirrel does not buy the goods, become the seller, guarantee a sale or approval by any channel, or act as the Client’s insurance carrier. A function visible in the portal is not itself an accepted service or a guarantee that the connection works.

3. Client duties and authority

The Client represents that it owns the goods or has authority to direct their handling and that the goods and listings comply with applicable law, intellectual property rights, carrier rules, and each marketplace’s requirements. It must disclose hazardous, fragile, expiration-dated or otherwise restricted characteristics before shipping and provide complete, accurate ASN and product data, order details, destination, labeling instructions and authorizations in time for work to be performed.

When the Client supplies data, credentials, tokens or access for Amazon, Walmart, Shopify, eBay, a carrier, or another service, it represents that it is entitled to grant that access and authorize the requested transactions. The Client must maintain valid payment and carrier-label funding methods; protect and promptly revoke account access; review inventory and order records; and provide lawful notices and permissions for any personal information about buyers, employees or suppliers that it provides.

4. Receiving, inspection, and inventory custody

The ordinary receiving service includes carton and individual-unit counts; applicable comparison of visible SKU and UPC; observable model, color and size checks; expiration review when visible; external damage assessment; photographs when applicable; and portal reports of material discrepancies. Unless specially agreed, we do not open sealed retail packs, turn on electronics, test functionality, authenticate goods or inspect concealed components. Receipt of an apparently sound laptop package does not establish that an internal defect was caused or discoverable by Squirrel.

Custody begins when goods are physically delivered to and accepted by our personnel and ends on documented handoff to a carrier or another authorized recipient. We exercise reasonable care while goods are in our custody. A carrier delivery signature confirms physical shipping units as then observed; final unit counts and condition follow the receiving review. Supplier or carrier events outside our custody are assessed separately from our own handling.

5. Third-Party Software, Technology Platform and Client Portal

5.1 Independent provider and license

Squirrel uses PrepShipHub LLC as an independent, third-party software and platform provider for certain warehouse and client-portal operations. PrepShipHub owns and operates its platform under its own terms; it is not part of Squirrel. Neither company is made the other’s partner, agent, joint venturer or employer by our use of the platform. Squirrel does not sublicense, redistribute or grant rights in PrepShipHub software beyond the access the provider authorizes.

5.2 Portal functions

Subject to configuration and available permissions, the portal may support product and inventory records, purchase orders and inbound ASNs, receiving, storage, customer sales orders, outbound shipments, FBA and WFS workflows, returns, problems and discrepancies, billing, documents and operational messages. Not every function or integration is available for every Client or service plan. A direct-to-customer sales order must be distinguished from a supplier purchase order or inbound ASN.

5.3 Accurate instructions and authorized users

The Client is responsible for the accuracy of information it or its authorized users enter or provide, including UPC, ASIN, SKU, FNSKU, quantity, weight, dimensions, expiration, bundle contents, shipping addresses, order status, labels and preparation instructions. Squirrel may reasonably act on a clear instruction but remains responsible for the verification included in its service and for raising an evident conflict it detects. The Client must safeguard credentials, limit permissions, disable former users and notify us promptly of suspected misuse. Responsibility for an unauthorized intrusion is determined by its actual cause; it is not assigned automatically.

5.4 Connected accounts and other providers

Amazon Seller Central and SP-API, Walmart, Shopify, eBay, carriers, Stripe and other connected systems are independent third-party services governed by their own terms. The Client authorizes Squirrel, within permissions lawfully granted, to use account and transaction data needed for accepted work. The Client also controls any authorization it grants directly to PrepShipHub. It must resolve restrictions, permissions and order or label funding within its own connected accounts.

5.5 Availability, changes, and manual continuity

Squirrel does not control or warrant the uptime, security, accuracy, APIs, integrations, data retention, uninterrupted availability or changes of PrepShipHub or the connected services. A service outage, unsynchronized sales order, expired connection, marketplace account restriction, changed workflow or carrier interruption outside our reasonable control does not automatically make Squirrel responsible for a missed cutoff or delay. We will assess actual cause, notify the Client of a material operational impact when practicable, and reasonably mitigate it. We may change our workflow, ask for reconnection or verified instructions, or pause affected orders. An unconfirmed upload or message during an outage is not treated as received until verified.

5.6 Data and permitted use

The Client retains its rights to Client-provided data. Its direct relationship with PrepShipHub governs the platform provider’s licenses to host, process and use data. Our Privacy Policy describes Squirrel’s handling; the provider’s own policy governs its independent processing. The Client should retain copies of critical order, label, inventory and billing records. We do not promise continuous access to or complete restoration of data held exclusively by a third party. The Client may not use the portal unlawfully, fraudulently, without authorization, or contrary to the provider’s terms. PrepShipHub’s monetary liability limits apply to its own agreements and do not automatically become limits on Squirrel’s responsibilities.

6. Sales orders, label funding, and dispatch

A 3PL sales order becomes actionable only when it is available to Squirrel through an enabled integration or an accepted manual workflow, released for fulfillment, accurately identifies the goods and recipient, and has a valid Client-funded shipping method or prepaid label. The Client pays the carrier shipping label to the end customer, whether it supplies the label directly or authorizes purchase through its carrier or marketplace account. Carrier charges, postage, surcharges and shipment insurance are outside the applicable 3PL handling rate, including any bundle component charge. Squirrel is not required to advance those amounts without a separate accepted agreement.

The Client must keep stock correctly allocated across channels, prevent duplicate or canceled orders from being sent for fulfillment, choose services that meet its marketplace promises, and communicate changes before work begins. An automatic order import must meet the eligibility and 2:00 p.m. ET cutoff in Section 7 for same-day dispatch. When an order is already packed or handed to a carrier, cancellation or address changes may not be possible. If inventory is unavailable or order details conflict with physical stock, we hold the affected order and seek instructions. We provide dispatch and tracking information when available through the supported workflow; transit and delivery are performed by the carrier.

7. Timing and support

FBA and WFS marketplace preparation: The target is 48–72 hours, normally 2–3 business days, from physical receipt of inventory with a correctly created inbound ASN and all required product information, marketplace authorizations and labels available. The target concerns preparation and tender of inventory to the carrier for an Amazon FBA or Walmart WFS facility. It does not include carrier transit or the marketplace’s receiving time. Days on which Squirrel is closed do not count toward the 2–3 business-day target.

Standard 3PL direct-to-customer fulfillment: For inventory already received, counted, available and stored at our facility, an order placed in the Client’s connected store or marketplace before 2:00 p.m. U.S. Eastern Time (ET), Monday through Friday, will be prepared and tendered for carrier dispatch that same business day. An order placed at or after 2:00 p.m. ET will be prepared and tendered on the next business day. The same next-business-day rule applies to orders placed on a weekend or a day when Squirrel or the designated carrier is closed. Eastern Time follows the applicable daylight saving time change.

The store order timestamp determines whether the order was placed before the 2:00 p.m. cutoff, but same-day dispatch also requires that it be transmitted to and available to Squirrel by 2:00 p.m., released for fulfillment, and accompanied by available physical stock, complete and accurate shipping details, a valid Client-funded shipping label or purchase authorization, and a scheduled or available pickup by the designated carrier. If an integration sends an earlier store order after the cutoff, or an order is held for missing information or a payment or label problem, the 2:00 p.m. cutoff is applied to the time it first becomes actionable: before the cutoff, dispatch is that business day; at or after the cutoff, dispatch is the next business day. Squirrel will inform the Client of a material hold when reasonably practicable.

A business day for 3PL dispatch means a Monday through Friday on which Squirrel operates and the designated shipping service accepts the shipment. The same-day and next-business-day schedule is subject to carrier closures and holiday schedules, including Labor Day when the selected UPS, USPS, FedEx or other service does not accept pickups, and other days on which that carrier does not operate. If a scheduled pickup is unavailable, dispatch moves to the next day both Squirrel and the designated carrier operate. Severe disruptions outside our reasonable control are handled under Section 5.5. “Dispatch” means tender to the carrier, not delivery to the end customer; delivery transit times and marketplace ship-by rules remain separate.

Our approximately 3,000-unit daily processing capacity is a planning estimate, not reserved capacity. We coordinate larger programs and peak seasons in advance. Account support is available Monday through Friday, 9 a.m.–5 p.m. Eastern Time by email, SMS or WhatsApp. Visits are by appointment.

8. Fees, billing, and storage

Pricing and Fees establishes separate FBA/WFS prep and 3PL fulfillment charges, any additional prep services, returns, inbound unloading and storage. The inbound minimum is 200 single products of the same SKU or 200 Big Size singles of the same SKU; for bundles or multipacks it is 100 completed bundles of the same bundle SKU, each containing the Client-defined components. For ordinary bundles, the base rate covers up to two component units per finished bundle and each further component adds $0.50 per finished bundle. The applicable base rate depends on whether the work is FBA/WFS preparation or 3PL fulfillment, as listed in Pricing and Fees. There is no mandatory monthly volume, account fee, setup fee or deposit. A Client-authorized card is charged through Stripe after services are completed, with other accepted charges billed as incurred. Third-party carrier and platform charges are separate. No unposted technology, packing material or manual-work rate is charged without an advance written quote and approval.

Four calendar days of initial storage begin on the receipt date. After that period the published pallet rate or an approved special storage quote applies while goods remain at our facility, including inventory intentionally held for later 3PL consumer orders. There is no claim that ongoing 3PL storage is included in each pick-and-pack charge. If payment fails, we may pause affected processing or release after notice while lawful storage charges continue. A charge dispute should be communicated with enough detail to investigate; undisputed charges remain payable.

9. Preparation errors, discrepancies, and claims

Squirrel accepts responsibility for preparation mistakes directly caused by its operations, including applying a different FNSKU from the correct one supplied, mispicking a correctly identified 3PL order, or documented damage caused by our handling. We will correct the error without an additional charge where reasonably possible. Any other refund or liability will be assessed from the evidence, direct cause and applicable law.

If the Client supplies an incorrect UPC, ASIN, SKU, FNSKU, address, recipient, expiration detail, sales order or other instruction and we carry it out accurately without omitting an agreed check or ignoring an evident contradiction, the resulting issue is not automatically a Squirrel error. Costs of Client-requested correction will be identified before additional work. Where several causes contribute, each party’s conduct will be examined. We do not assume responsibility for concealed, pre-existing or manufacturing defects not reasonably detectable by the agreed external inspection, or for carrier acts before receipt or after documented handoff; this does not excuse damage or defective preparation Squirrel actually causes.

The Client should report a loss, shortage, shipping or prep error promptly after discovery and provide order ID, SKU, quantity, shipment information, photographs and documents supporting value and cause. We will preserve reasonably available records and review the claim. An adverse marketplace decision or a portal status alone does not establish who caused the loss.

10. Returns, insurance, and limits

Amazon removals, marketplace or store customer returns, and supplier returns are accepted and handled only under an announced, identifiable, agreed workflow. Return inspection is external and does not guarantee resale eligibility or acceptance by a marketplace. Client-facing refunds, marketplace claims, customer service and return labels remain the Client’s responsibility unless a separate service is accepted. Processing, re-preparation, disposal and storage charges are set out in Pricing and Fees.

Inventory at our facility is subject to applicable insurance coverage for our operations, with the actual terms, exclusions, deductibles and limits of the policy. This is not a guarantee that every item, value or event is insured or fully reimbursed. The Client should evaluate its own inventory and transit coverage.

To the extent allowed by law, Squirrel is not liable for indirect or consequential losses, such as anticipated sales, ranking or lost business opportunities. This does not exclude legal obligations that cannot be excluded or excuse Squirrel’s own legally attributable conduct. Squirrel does not adopt PrepShipHub’s separate fee-based liability cap.

11. Restricted goods, holds, and lawful remedies

We do not accept hazmat or glass, illegal or counterfeit goods, firearms or ammunition, live plants or animals, alcohol, tobacco or vaping products, prescription drugs, or other goods requiring unaccepted licenses, controls or storage conditions. The posted standard size and weight limits apply. We may isolate or reject undeclared unsafe goods and seek documented instructions and reasonable approved cost recovery.

Unidentified goods are subject to identification efforts and escalation under the operating policies, not automatic transfer of title. An unpaid balance, 14-day identification period or 30-day hold does not itself authorize disposal, sale or donation. A warehouse lien or disposition of unclaimed, dangerous or deteriorating goods may be exercised only as and through the notice and procedures permitted by law. Authorized disposal is recorded.

12. Indemnity, suspension, and termination

To the extent permitted by law, the Client will defend and indemnify Squirrel against third-party claims arising from Client goods, unlawful products, product defects or recalls, incorrect or unauthorized data and access, intellectual property violations or the Client’s breach, except to the extent caused by Squirrel’s negligence, misconduct or breach. Squirrel will give notice and reasonable cooperation; the Client cannot bind Squirrel to an admission or settlement without written consent.

We may pause affected work for safety, prohibited goods, suspected fraud, missing authorizations, material nonpayment or material breach, with notice where practicable. Either party may end an ongoing service relationship on 30 calendar days’ written notice, subject to outstanding work, lawful charges, custody and inventory disposition. A serious breach may justify earlier suspension or termination as law permits. A provider’s suspension of a connected account is governed by that provider’s own terms.

13. Confidentiality, law, and changes

The parties use nonpublic business information for performance, billing, problem resolution and lawful compliance, and share it with people and providers as reasonably needed. Personal information is handled under the Privacy Policy. Florida law governs, subject to mandatory applicable law. The parties will first seek resolution through written communication, then bring any permitted dispute in a state court in Broward County, Florida, or a federal court with jurisdiction there.

Events beyond a party’s reasonable control may delay performance while it reasonably mitigates and resumes work. Material changes to terms or rates apply prospectively with appropriate notice and acceptance; work already accepted keeps its agreed rate. Invalidity of one clause does not invalidate the rest.
